PKF Perth advises NGIS on strategic sale to CLS
PKF Perth advised NGIS shareholders on the company’s sale to CLS (Collecte Localisation Satellites),a global leader in monitoring and surveillance.
Founded in 1993 in Perth, NGIS is a leader in creating impactful solutions using geospatial technology.
The PKF Perth team provided NGIS with comprehensive financial advisory and tax services including:
- Exclusive financial advisory support on sale of the company;
- Advisory on transaction structuring and related documentation including the Letter of Intent and Share Purchase Agreement;
- Assistance in Net Working Capital calculations and purchase price adjustment mechanisms; and
- Tax advisory and planning services to the shareholders and company.
The engagement was led by Peter Sinclair, Partner, Deals and Tax Advisory Partner, and Matthew Hall, Executive Director, Corporate Finance, supported by Arman Talwar, Corporate Finance Manager, and Nicholas Raso, Senior Tax Manager.
The acquisition provides CLS with a strategic foothold in the Asia-Pacific region, with NGIS set to play a pivotal role in the group’s international growth strategy.
